Shareholders Litigation, Consolidated Case No. 2563-N (Delaware Chancery Court), a case which was the first Delaware case to consider the actions of corporate directors in the new paradigm of private equity buyouts and a case in which The Brualdi Law Firm, PC was successful in obtaining a preliminary injunction on the ground, inter alia, that it had established a likelihood of success that Netsmart’s directors breached their fiduciary duties by contacting only potential “financial buyers” and not any “strategic buyers” during the sale process. Among its many other professional successes, The Brualdi Law Firm, PC served as plaintiffs’ co-lead counsel in the merger and acquisition case that resulted in the largest ever cash recovery to shareholders, a $300 million increase in the price paid by Novartis AG for Chiron, see In re Chiron Shareholder Deal Litigation, Case No. 05-2305667 (Alameda County 2005); In re Chiron Corporation Shareholders Litigation, Consolidated Case No. 1602-N (Delaware Chancery Court 2005). The Brualdi Law Firm, PC also was plaintiffs’ co-lead counsel in the shareholder derivative case which resulted in the largest recovery ever in a “stand alone” derivative case, $26.5 million, see In re Bank of New York Corporate Derivative Litig., No. 99/604465 (N.Y.
